These Terms of Service (the "Terms") are a binding agreement between you ("you," "your," or "Member") and TNS Brokerage Services, LLC, doing business as VeriPath ("VeriPath," "we," "us," or "our"). They govern your access to and use of the VeriPath website, mobile applications, and the healthcare navigation services we make available through them (collectively, the "Services").
Please read these Terms carefully. By creating an account, subscribing, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and HIPAA Notice, which are incorporated here by reference. If you do not agree, do not use the Services.
You may use the Services only if you can form a binding contract with VeriPath and only in compliance with these Terms and all applicable laws. By using the Services, you represent that you meet the eligibility requirements in Section 3 and that the information you provide to us is accurate and complete.
VeriPath is a healthcare navigation and price-transparency platform. We collect, organize, and present publicly available and licensed healthcare pricing information — including negotiated rates, cash-pay prices, and benchmark estimates — and we offer tools that help you compare providers, estimate costs, source prescriptions, review medical bills, and identify financial-assistance and pre-authorization options.
VeriPath provides information and software tools only. To be clear about what VeriPath does not do:
Your relationships with your healthcare providers, pharmacies, insurers, and plan administrators are solely between you and them. VeriPath is not a party to those relationships and is not responsible for the care, services, pricing, or decisions of any third party.
You must be at least 18 years old and a resident of the United States to use the Services. By using the Services, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms. The Services are intended for personal, non-commercial use unless we agree otherwise in writing.
Certain features require you to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at memberservices@veripath.health if you suspect unauthorized use. We may suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.
Access to some or all of the Services requires a paid subscription. When you subscribe, you authorize VeriPath and its payment processors to charge the subscription fee and any applicable taxes to your selected payment method on a recurring basis according to the plan you choose [for example, $[amount] per [month/year]].
Automatic renewal. Subscriptions automatically renew at the end of each billing period at the then-current rate until you cancel. By subscribing, you authorize these recurring charges until you cancel.
Cancellation. You may cancel at any time through your account settings or by contacting memberservices@veripath.health. Cancellation takes effect at the end of the current billing period, and you will retain access until that period ends.
Refunds. Except where required by law, fees are non-refundable and partial periods are not prorated. [Confirm refund and free-trial policy with your attorney; describe any free trial, its length, and how it converts to a paid subscription here.]
Price changes. We may change subscription prices or plan features. We will give you advance notice of any price increase, which will take effect on your next billing period after the notice. Your continued use after the change takes effect constitutes acceptance of the new price.
By using the Services, you consent to receive communications from us electronically — including notices, agreements, disclosures, and account and transactional messages — by email, by text message to a number you provide, or through the Services. You agree that electronic communications satisfy any legal requirement that a communication be in writing. Message and data rates may apply, and you may opt out of non-essential messages as described in those messages or in our Privacy Policy.
The pricing and provider information VeriPath presents is drawn from machine-readable files, charge masters, and other sources published or licensed by hospitals, payers, pharmacies, and government programs, and from various third-party and government databases that VeriPath does not own or control. This source data is voluminous and is often incomplete, inconsistent, delayed, or formatted differently from one source to the next. While we work to clean, standardize, and present it accurately, we cannot and do not warrant that any rate, estimate, score, or other information is current, complete, or error-free.
All prices and estimates shown through the Services — including post-discount network rates, cash prices, benchmark or negotiation targets, and the VeriPath Score — are informational estimates only. They are not quotes, guarantees, offers, or binding representations, and they are not a promise of what you will be charged or what your insurer will allow or pay. Estimates are provided for informational and educational purposes to help you ask questions and make your own decisions.
VeriPath does not set, negotiate, or control the prices charged by any provider, pharmacy, or insurer, and is not responsible or liable for any difference between an estimate provided through the Services and the amount actually quoted, billed, or charged to you. By way of example, if the Services indicate that a CT scan may cost approximately $800 and you are ultimately charged $1,200, VeriPath is not responsible or liable for that $400 difference or for any similar difference.
You acknowledge that estimates may differ materially from actual charges, that prices change frequently and vary by provider, plan, and circumstance, and that you are solely responsible for verifying any price directly with the provider, pharmacy, or insurer before obtaining care or making any payment. You are solely responsible for your healthcare and financial decisions.
The Services, including any guidance, scripts, templates, counseling resources, or educational content, are provided for general informational purposes only and are not a substitute for professional advice. Nothing in the Services constitutes medical, financial, tax, legal, or insurance advice, or creates a provider-patient, advisor-client, or attorney-client relationship. Always seek the advice of a qualified professional with any questions about your health, your finances, or your coverage, and never disregard or delay professional advice because of something you accessed through VeriPath.
VeriPath may offer tools that flag potential errors on medical bills, generate dispute or appeal language, identify financial-assistance or charity-care programs, and support pre-authorization efforts. These tools provide information and document templates to help you act on your own behalf. They do not constitute advice, do not guarantee that any charge is in fact an error, and do not guarantee that any dispute, appeal, assistance application, or authorization will succeed. You are responsible for reviewing, completing, and submitting any communication or document, and for any decision you make based on the tools.
You agree not to: (a) use the Services for any unlawful, fraudulent, or unauthorized purpose; (b) access, scrape, copy, or harvest data or content from the Services except as expressly permitted; (c) resell, sublicense, or commercially exploit the Services or the data within them; (d) interfere with or disrupt the integrity, security, or performance of the Services; (e) attempt to gain unauthorized access to any system or account; (f) reverse engineer or attempt to derive source code except where such restriction is prohibited by law; (g) upload malicious code or submit false, misleading, or infringing information; or (h) use the Services to violate the rights of any other person. We may investigate and take appropriate action, including suspension or termination, for any suspected violation.
The Services may allow you to upload or submit information and documents, such as medical bills, explanations of benefits, prescriptions, and account details ("Member Content"). You retain ownership of your Member Content. You grant VeriPath a limited, non-exclusive, royalty-free license to host, process, reproduce, and use your Member Content solely to provide, maintain, and improve the Services for you and as otherwise described in our Privacy Policy and HIPAA Notice.
You represent that you have the right to submit your Member Content and that doing so does not violate any law or the rights of any third party. To the extent your Member Content includes health information, we handle it in accordance with our HIPAA Notice and applicable law. Do not submit information you are not authorized to share.
The Services and all related software, design, text, graphics, the VeriPath Score and its methodology, and other content (excluding Member Content) are owned by VeriPath or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use. All rights not expressly granted are reserved. "VeriPath," our logo, and related marks are trademarks of VeriPath; you may not use them without our prior written consent.
If you send us feedback or suggestions, you grant us the right to use them without restriction or obligation to you.
The Services may reference or link to third parties, including hospitals, clinics, pharmacies, online and international pharmacy options, manufacturer assistance programs, and other websites and services. We provide this information for convenience and do not endorse, control, or assume responsibility for any third party, their pricing, availability, products, services, or content. Your dealings with any third party are solely between you and that third party, and are subject to their terms and policies.
Your use of the Services is also governed by our Privacy Policy and, where applicable, our HIPAA Notice, which explain how we collect, use, and protect your information. Please review them carefully. By using the Services, you consent to those practices.
The Services and all information, tools, and content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, VeriPath disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty regarding the accuracy, completeness, reliability, timeliness, or availability of the Services or any pricing, estimate, score, or other information.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
To the fullest extent permitted by law, VeriPath and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or savings, arising out of or relating to your use of (or inability to use) the Services, even if advised of the possibility of such damages.
In no event will VeriPath's total aggregate liability arising out of or relating to these Terms or the Services exceed the greater of the amount you paid VeriPath in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars ($100).
Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you.
You agree to defend, indemnify, and hold harmless VeriPath and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your Member Content, your violation of these Terms, or your violation of any law or the rights of a third party.
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have disputes decided by a jury or as part of a class action.
Informal resolution first. Before starting an arbitration, you agree to try to resolve the dispute informally by sending written notice to memberservices@veripath.health describing the dispute and the relief you seek. If we cannot resolve it within sixty (60) days, either party may begin arbitration.
Agreement to arbitrate. You and VeriPath agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally will be settled by final and binding individual arbitration, rather than in court, except as provided below. The arbitration will be administered by [the American Arbitration Association (AAA) / JAMS — confirm with counsel] under its applicable consumer arbitration rules, and may be conducted by telephone, video, or written submissions where permitted. The arbitrator will decide all issues, and judgment on the award may be entered in any court of competent jurisdiction.
Class-action and jury-trial waiver. You and VeriPath agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims. You and VeriPath waive any right to a jury trial.
Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or equitable relief in court to protect its intellectual-property or confidential-information rights.
Your right to opt out. You may opt out of this arbitration agreement by sending written notice to memberservices@veripath.health within thirty (30) days after you first accept these Terms. Your notice must include your name and the email associated with your account and must state that you opt out of arbitration. If you opt out, the "Governing Law and Venue" section will govern disputes.
This Section survives termination of your relationship with VeriPath. [Confirm arbitration administrator, rules, fee allocation, and venue with your attorney.]
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act with respect to Section 18. To the extent any dispute is permitted to proceed in court rather than arbitration, you and VeriPath consent to the exclusive jurisdiction and venue of the state and federal courts located in Georgia [confirm county/venue with counsel].
You may stop using the Services and cancel your subscription at any time as described in Section 5. We may suspend or terminate your access to the Services, with or without notice, if we believe you have violated these Terms, if required by law, or to protect the Services or other users. Upon termination, your right to use the Services ends, but any provisions that by their nature should survive — including Sections 7, 8, 11, 12, and 15 through 19 — will survive.
We may modify, suspend, or discontinue any part of the Services at any time. We may also update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms with a new effective date or by notifying you through the Services or by email. Your continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms.
These Terms, together with the Privacy Policy and HIPAA Notice, are the entire agreement between you and VeriPath regarding the Services and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any delay or failure to perform caused by events beyond our reasonable control. Section headings are for convenience only.
